Terms of Service

These Terms of Service ("Terms") govern your access to and use of SharpWebP ("we", "our", or "us"), including our website at sharpwebp.com, APIs, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, uploading images, or otherwise using any part of the Service, you confirm that:

• You are at least 18 years of age, or the age of legal majority in your jurisdiction.
• You have the legal capacity and authority to enter into these Terms.
• You will comply with all applicable local, national, and international laws and regulations.
• You have read and understood our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

SharpWebP provides a web-based image optimization and WebP conversion service. The Service includes:

• Image Optimization - Converting images to WebP format with advanced quality preservation algorithms.
• Multiple Quality Modes - Including High, Ultra, Maximum, Edge-Preserving, and other specialized processing modes depending on your subscription plan.
• AI-Powered Content Analysis - Automatic detection of image content type for optimal processing parameters.
• Batch Processing - Processing multiple images simultaneously (available on Starter plans and above).
• REST API Access - Programmatic access to the optimization engine (available on Pro plans and above).
• Dashboard and Analytics - Usage tracking, processing history, and account management.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information to keep it accurate.
• Maintain the security and confidentiality of your password.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. We are not liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

3.3 Email Verification

We require email verification to activate your account. You must have access to the email address you provide during registration. Unverified accounts may have limited functionality.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload, process, or distribute images containing illegal content, including but not limited to child sexual abuse material (CSAM), content that violates intellectual property rights of others, or content that is defamatory or obscene under applicable law.
• Use the Service to process images for purposes that violate any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our servers and infrastructure.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Circumvent, disable, or otherwise interfere with security features of the Service, including usage limits, rate limiting, or authentication mechanisms.
• Use automated tools, bots, or scripts to access the Service except through our official API with valid authentication.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, redistribute, or sublicense access to the Service without our express written permission.
• Use the Service in any manner that could overburden, impair, or damage our servers or interfere with any other party's use of the Service.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

5. Subscription Plans and Billing

5.1 Free and Paid Plans

The Service is available under multiple subscription tiers:

Plan details, pricing, and features are subject to change. We will notify existing subscribers of material changes at least 30 days in advance.

5.2 Payment Terms

• Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select.
• All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
• Payments are processed securely through Razorpay. By subscribing, you also agree to Razorpay's terms of service.
• You authorize us to charge your selected payment method for all fees associated with your subscription.

5.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription fee at the time of renewal. We will send a reminder email before each renewal.

5.4 Cancellation

• You may cancel your subscription at any time through your dashboard settings.
• Upon cancellation, your subscription remains active until the end of the current billing period. You will not receive a refund for the remaining days in the billing period.
• After the subscription period ends, your account will be downgraded to the Free plan.
• Cancellation does not delete your account or processing history.

5.5 Refunds

Subscription payments are generally non-refundable. However, we may consider refund requests on a case-by-case basis in the following situations:

• The Service was materially unavailable for an extended period during your billing cycle.
• You were charged in error due to a technical issue.
• You are requesting a refund within 7 days of your initial subscription and have not exceeded the Free plan usage limits.

6. Usage Limits

Each subscription plan has defined usage limits (images per day, upload size per day, maximum file size, maximum resolution). These limits are enforced automatically. If you exceed your plan's daily limits:

• Further processing requests will be queued or denied until the next calendar day (UTC).
• You may upgrade your plan at any time to increase your limits.
• Unused daily quota does not roll over to subsequent days.

We reserve the right to impose additional rate limits or throttling to maintain Service quality for all users.

7. Intellectual Property

7.1 Your Content

You retain all ownership rights to the images you upload to the Service. By uploading images, you grant us a limited, non-exclusive, temporary license to process, convert, and optimize your images solely for the purpose of providing the Service. This license terminates immediately upon the deletion of your images from our servers.

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and process the images you submit, and that doing so does not infringe upon the intellectual property rights of any third party.

7.2 Our Content

The Service, including its design, code, algorithms, documentation, trademarks, and all other intellectual property, is owned by SharpWebP and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written permission.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive for the highest quality output, we do not guarantee that:

• The Service will be uninterrupted, error-free, or completely secure.
• The results of image processing will meet your specific requirements in all cases.
• Any defects in the Service will be corrected within a specific timeframe.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHARPWEBP AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• Your use of or inability to use the Service.
• Any unauthorized access to or alteration of your data or images.
• Any third-party conduct on or related to the Service.
• Any loss or corruption of images during processing.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless SharpWebP, its operators, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any content you upload, process, or distribute through the Service.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at support@sharpwebp.com. Upon termination, your right to use the Service ceases immediately. Any active subscription will continue until the end of the current billing period, after which no further charges will apply.

12.2 Termination by Us

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe:

• Violates these Terms or our Acceptable Use policy.
• Is harmful to other users, us, or third parties.
• Constitutes fraud or abuse of the Service.

12.3 Effect of Termination

Upon termination of your account:

• Your processing history and account data will be deleted within 30 days.
• Any pending images in processing will be deleted immediately.
• Sections of these Terms that by their nature should survive termination will survive, including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify registered users via email at least 30 days before the changes take effect.
• Provide a summary of the material changes.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service and terminate your account.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

• Jurisdiction - Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.
• Arbitration - Before filing any court action, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved amicably, either party may initiate arbitration under the Arbitration and Conciliation Act, 1996 (India).
• Class Action Waiver - To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

• Entire Agreement - These Terms, together with the Privacy Policy, constitute the entire agreement between you and SharpWebP regarding the Service.
• Severability - If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver - Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment - You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure - We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
